dc.description.abstractЗроблено спробу прослідкувати становлення концепції створення суб’єктів господарювання на підставі модельного статуту, визначено правові засади та особливості модельного статуту, проаналізовано практику застосування модельного статуту як в Україні, так і в інших державах. Досліджено відмінні риси модельного статуту та типового установчого документа. Акцентовано увагу на необхідності внесення змін до законодавства стосовно визначення поняття «модельний статут» та визнання рішення про створення суб’єкта господарювання на підставі модельного статуту установчим документом.uk_UA
dc.description.abstractThe relevance of the chosen issue is due to the fact that there is a policy of deregulation of economic activity in Ukraine, which is grounded on simplifying legalization of subjects of business, reducing the number of inspections of such subjects, reducing the terms and costs on starting a business. But under impetuous reform and adoption of a large number of normative and legal acts there are conflicts, gaps of legal regulation, which lead to incorrect implementation of law norms in the sphere of creation and realization of the activity by the subjects of business and as a result violation of their rights and the rule of law. Based on the analysis of special literature and existing scientific researches the author attempts to trace the formation of the concept of creating the subjects of business on the basis of a model statute, to study the practice of a model statute’s application both in Ukraine and in other countries, to identify the distinctive features of a model statute and a typical constitutive document. It is determined that a model statute differs from a pattern or a typical statute, and can not contain any individual features. In this case the use of the term «typical» does not match the content and concept of a model statute and requires appropriate amendments by the legislator. Constitutive document except model statute for legal persons, which are established and realize their activity on the basis of model statutes is to be a decision about creation or decision of a higher authority to continue the activity on the basis of a model statute. Introduction of the model statute principle in the national legislation needs to be revised and to define «constitutive documents». It is also stressed on the possibility of such a situation when the Cabinet of Ministers may provide changes to a model statute, in this case they will concern all entities operating on its basis, that can cause disagreement among subjects of business.en
dc.description.abstractСделана попытка проследить становление концепции создания субъектов хозяйствования на основании модельного устава, определены правовые основы и особенности модельного устава, проанализирована практика применения модельного устава как в Украине, так и в других государствах. Исследованы отличительные особенности модельного устава и типового учредительного документа. Акцентировано внимание на необходимости внесения изменений в законодательство относительно определения понятия «модельный устав» и признания решения о создании субъекта хозяйствования на основании модельного устава учредительным документом.ru
