Договір на виконання науково-дослідних робіт як форма закріплення прав та обов’язків учасників венчурного інвестування інноваційної діяльності

Abstract

Виявлено особливості договору на виконання науково-дослідних робіт як форми закріплення прав та обов’язків учасників венчурного інвестування інноваційної діяльності. Обґрунтовано, що договір на виконання науково-дослідних робіт має подвійну правову природу. По-перше, такий договір опосередковує науково-дослідну діяльність, виступаючи при цьому різновидом договорів про виконання робіт. По-друге, договір на виконання науково-дослідних робіт є формою закріплення прав та обов’язків учасників венчурного інвестування інноваційної діяльності, тобто належить до інвестиційних договорів. Отже, замовник за цим договором матиме правовий статус інвестора, а виконавець – реципієнта інвестицій.

The article is focused on identifying specific features of the contract for performing research works as a form of consolidating the rights and obligations of venture investment participants into innovation activity. It has been substantiated that the contract for performing research works has a dual legal nature. First of all, such a contract mediates research activities by acting as a type of contracts on performing works. Secondly, the contract for performing research works is a form of consolidating the rights and obligations of venture investment participants into innovation activity, that is, it belongs to investment contracts. Therefore, the consumer will have the legal status of an investor under this contract, and the contractor will have the legal status of an investment recipient. The studied contract has a special subject matter – scientific activity, that is, intellectual creativity aimed at obtaining and using new knowledge, which is expressed in fundamental or applied scientific research. The characteristic feature of the contract for performing research works is its aleatory nature, which is manifested in the fact that the contractor (investment recipient) cannot guarantee the occurrence of the result that the consumer (investor) expects at the time of the contract’s conclusion. Moreover, the law directly defines the consequences of the impossibility of achieving such a result. The contract price for performing research works as a form of consolidating the rights and obligations of venture investment participants into innovation activity is an investment from economic point of view. Moreover, the contract price is not equivalent to the result of the work performed, which is due to the aleatory nature of this contract. The special subject matter of the contract for performing research works determines such a feature as the confidentiality of information about the contract, which may be extended to the progress of performing the works, the obtained results, as well as to the relations arising after the completion of the works.
